1. Eligibility and authority
You must be at least 18 years old and legally able to enter into a binding agreement. If you use the Service for an organization, you represent that you have authority to bind that organization. You may use the Service only where doing so is lawful.
2. What Shomerion provides
Shomerion is software designed to help traders define, monitor, and follow self-selected trading rules. Features may include broker connections, trading-window controls, loss or trade limits, rule locking, order cancellation, position-closing actions, performance summaries, and journaling.
Some features may be offered as beta, Early Access, preview, or experimental features. They may be incomplete, change without notice, or experience interruptions and errors.
3. No investment advice or guarantee
Shomerion is not a broker, exchange, investment adviser, financial adviser, fiduciary, or trading signal service. The Service does not provide investment, legal, tax, or financial advice and does not recommend any trade, security, strategy, or broker.
Trading involves substantial risk, including loss of some or all invested capital. Shomerion does not guarantee performance, profitability, execution, availability, or that configured limits will prevent or cap losses. Broker or API delays, outages, rejected orders, partial fills, slippage, volatility, connectivity failures, and market conditions may cause results to differ from configured rules.
You are solely responsible for your trading decisions, broker account, positions, orders, permissions, and losses.
4. Accounts and security
You must provide accurate information and keep it current. You are responsible for maintaining the confidentiality of your password, broker credentials, API keys, devices, and sessions, and for all activity under your account. Notify us promptly at support@shomerion.com if you suspect unauthorized access.
You may not share an account in a way that bypasses user limits or security controls, impersonate another person, or access an account without authorization.
5. Broker connections and your authorization
When you connect a broker or exchange, you authorize Shomerion to access the account information and perform the actions permitted by your selected settings and the permissions granted through that provider. Depending on your configuration, this may include reading account data, monitoring activity, cancelling orders, or submitting transactions intended to close positions.
You are responsible for reviewing permissions before connecting an account, using the minimum permissions necessary, confirming whether a feature operates in paper, demo, or live mode, and verifying all actions directly with your broker. You may disconnect a broker subject to any active rule-lock restrictions you configured.
Shomerion is independent from supported brokers and exchanges. Third-party services are governed by their own terms, policies, availability, and technical limitations.
6. Rules and automated actions
You choose and configure your own rules. You understand that rule locks may temporarily prevent you from changing limits or broker settings. You authorize the Service to carry out enabled automated actions, but acknowledge that attempted actions may be delayed, rejected, duplicated, partially completed, or not completed due to circumstances outside Shomerion’s control.
You must continue to monitor your broker account and remain capable of managing positions directly through your broker. Shomerion is not a substitute for broker-native risk controls, independent account monitoring, or an emergency trading plan.
7. Acceptable use
You may not:
- use the Service for unlawful, fraudulent, abusive, or market-manipulative activity;
- interfere with, overload, disrupt, or bypass security or access controls;
- probe, scan, reverse engineer, copy, or extract the Service except where law expressly permits;
- introduce malware, automated scraping, or unauthorized bots;
- use another person’s credentials or connect an account you are not authorized to control; or
- resell or commercially exploit the Service without written permission.
8. Fees and subscriptions
Selected users may receive free access during the Early Access beta. We may introduce paid plans, usage limits, or optional features in the future. Before charging you, we will present the applicable price and billing terms and obtain any authorization required by law. Unless stated otherwise at purchase, fees are non-refundable except where required by law.
9. Ownership and feedback
Shomerion and its licensors retain all rights in the Service, including software, design, branding, text, and related intellectual property. These Terms give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.
You retain ownership of content you submit. You grant Shomerion the limited rights needed to host, process, reproduce, and use that content to operate and improve the Service. If you provide feedback, you allow us to use it without restriction or compensation.
10. Privacy
Our Privacy Policy explains how we collect, use, and protect information. By using the Service, you acknowledge that Policy.
11. Service changes, suspension, and termination
We may update, add, remove, suspend, or discontinue features. We may restrict or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay applicable fees, or used the Service in a way that threatens users, third parties, or the Service.
You may stop using the Service at any time. Provisions that by their nature should survive termination—including ownership, disclaimers, limitations of liability, and dispute terms—will survive.
12. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Shomerion disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. Nothing in these Terms excludes rights that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by law, Shomerion and its owners, personnel, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, trading losses, lost opportunities, lost data, business interruption, or the cost of substitute services, arising from or related to the Service.
To the maximum extent permitted by law, Shomerion’s total liability for all claims relating to the Service will not exceed the greater of the amount you paid to Shomerion for the Service during the 12 months before the event giving rise to the claim or US$100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Shomerion and its owners, personnel, affiliates, and service providers from claims, losses, liabilities, and expenses arising from your unlawful use of the Service, violation of these Terms, infringement of third-party rights, or activity in a broker account you were not authorized to control.
15. Disputes and applicable law
Before starting a formal claim, please contact support@shomerion.com and allow us a reasonable opportunity to resolve the issue informally. These Terms are subject to applicable law, including any mandatory consumer protections that cannot be waived. Nothing in these Terms limits your right to seek relief from a court or regulator where that right cannot lawfully be restricted.
16. Changes to these Terms
We may update these Terms as the Service changes. We will post the revised Terms and update the effective date. If changes are material, we may provide additional notice. Continued use after the updated Terms take effect means you accept them, to the extent permitted by law.
